Membership Agreement

Article 1 — Parties and Definitions

Article 2 — Subject of the Agreement

This Agreement governs the wholesale shopping services the Member will benefit from upon registration, the terms of use of the site, and the mutual rights and obligations of the parties. By approving the form, the Member declares and undertakes that they have read, understood, and accepted all terms.

Article 3 — Membership Requirements and Application Process

Requirements

• —Be an individual or legal entity operating for commercial or professional purposes
• —Be at least 18 years old and have legal capacity
• —Be a taxpayer (tax identification number is mandatory)
• —Complete all mandatory fields in the membership form accurately and completely
• —Approve this Agreement and the KVKK Disclosure Notice

Application and Approval Process

• —Membership applications are submitted via the registration form on the Site.
• —The Company reserves the right to review, approve or reject applications.
• —Approved memberships are notified by email; wholesale prices are displayed after login.
• —Applications containing incomplete or misleading information will be rejected or the membership will be cancelled.

Article 4 — Member's Rights and Obligations

Rights

• —Access to wholesale price lists and product catalogue
• —View order history and invoices through their account
• —Benefit from member-exclusive campaigns and discounts
• —Priority access to customer service support
• —Exercise rights under KVKK regarding personal data

Obligations

• —Ensure that registration information is accurate and up to date; update within 5 business days of any changes.
• —Keep the account password confidential and not share it with unauthorized persons.
• —Use the Site only for commercial purposes and within the scope of the Agreement.
• —Not to transfer product photos and price lists to third parties without the Company's permission.
• —Not to use software, viruses or bots that could harm the Site.
• —Refrain from actions contrary to laws and public order.
• —Be personally legally responsible for all transactions made on the Site.

Article 5 — Company's Rights and Obligations

Obligations

• —Protect personal data within the scope of KVKK.
• —Send order, shipping and account notifications by email.
• —Take necessary technical measures for secure and uninterrupted service.
• —Not to share membership information with third parties without legal obligation.

Reserved Rights

• —Modify the terms of the Agreement and price lists without prior notice.
• —Reject membership applications without justification.
• —Suspend or terminate membership in case of breach of the Agreement.
• —Temporarily close the system for maintenance or security reasons.
• —Update minimum order quantities and delivery conditions.

Article 6 — Membership Benefits

Article 7 — Account Security and Password Responsibility

• —Account security is entirely the Member's responsibility.
• —The Company cannot be held liable for damages arising from failure to keep the password confidential.
• —In case of unauthorized use, info@sophisticwoman.com must be notified immediately.
• —The Member may not transfer, rent or sell their account to another person.
• —In case of forgotten password, the "Forgot My Password" function may be used.

Article 8 — Intellectual Property and Content Usage

The Site's design, visuals, product photos, brand name and all content belong to Podyum Pera Tekstil San. ve Tic. Ltd. Şti. and are protected under Turkish intellectual property legislation.

• —Unauthorized transfer or publication of product photos and price lists is prohibited.
• —Unauthorized use of the Company name and logo is strictly prohibited.
• —Infringements may result in legal and criminal liability.

Article 9 — Personal Data Protection

• —Personal data is processed and protected within the scope of KVKK No. 6698.
• —Data is used for order management, invoicing, delivery and legal obligations.

Article 10 — Commercial Electronic Communications and Notifications

To opt out of commercial communications: Account Settings → Notification Preferences or send an email to info@sophisticwoman.com.

Article 11 — Suspension and Termination of Membership

Termination by Member

• —Membership can be terminated through account settings or via info@sophisticwoman.com.
• —The account will be closed after open orders are completed.

Grounds for Suspension / Termination by the Company

• —Providing false or misleading membership information
• —Breach of the provisions of the Agreement
• —Behaviors threatening site security
• —Violation of intellectual property rights
• —Detection of individual consumer-purpose use
• —No login for 24 months (inactivity)
• —Legal obligation or court order

Article 12 — Limitation of Liability

• —The Company cannot be held liable for damages arising from technical failures and internet outages.
• —Responsibility for order issues caused by incorrect data entry lies with the Member.
• —The Company is not responsible for the content and security of third-party sites linked to.
• —The Site is provided "as is"; no guarantee of uninterrupted operation is given.

Article 13 — Force Majeure

Earthquakes, floods, fires, epidemics, wars, terrorism, government decisions, strikes, electricity and internet infrastructure failures are accepted as force majeure. The affected party immediately notifies the other party in writing; the relevant obligations are suspended during this period.

Article 14 — Agreement Amendments

The Company reserves the right to update the Agreement. Changes are published on the Site and members are notified by email. A Member who does not object within 30 days of the publication of the changes or continues to use the Site is deemed to have accepted the updated terms.

Article 15 — Dispute Resolution and Competent Court

• —In case of disputes, the parties first seek resolution through negotiation.
• —Competent court: Istanbul (Güngören) Courts and Enforcement Offices.
• —Applicable law: Turkish Law.
• —In disputes, the Company's electronic records carry the quality of conclusive evidence.

Article 16 — Entry into Force

The Agreement consists of 16 articles. By approving the membership form, the Member declares and undertakes that they have read, understood and accepted all articles. The Agreement enters into force upon completion of membership registration and remains valid until membership ends.
