Distance Sales Contract

Article 1 — Parties

By placing an order electronically through www.sophisticwoman.com, the Buyer is deemed to have accepted this contract.

Article 2 — Subject and Scope of the Contract

• —The subject of this contract is the wholesale sale and delivery of women's clothing products ordered by the Buyer through www.sophisticwoman.com.
• —Legal basis: Consumer Protection Law No. 6502 and the Distance Contracts Regulation (Official Gazette No. 29188).
• —Prices on the site are wholesale prices and include VAT.
• —Prices are valid until updated; promotional prices for a limited period apply only for the specified duration.

Article 3 — Product Information

Article 4 — Seller's Rights and Obligations

• —To deliver within the legal 30-day period from order confirmation.
• —To notify the Buyer within 3 business days if out of stock and refund within 14 days.
• —To communicate order confirmation and shipment tracking information by email.
• —To deliver products undamaged and complete.
• —To protect the Buyer's personal data under KVKK.
• —To refund within 14 days for withdrawals under the right of withdrawal.
• —Not to make unilateral changes to product prices after order confirmation.

Article 5 — Buyer's Rights and Obligations

• —To confirm that the information in the order form is correct and up-to-date.
• —To pay the order amount in full using the selected payment method.
• —To receive delivery at the delivery address or have an authorized person present.
• —To have a report drawn up with the courier in case of damage or missing items at delivery.
• —To return items to be returned in original packaging, unused.
• —By confirming the order, to accept having read, understood, and undertaken payment obligations under all contract terms.

Article 6 — Order and Payment Conditions

• —The order is finalized upon completion of the payment step; the contract is deemed established upon sending the order confirmation email.
• —Accepted payment methods: Credit card (single payment/installment), debit card, EFT/wire transfer, cash or credit card on delivery.
• —For EFT/wire transfers, the receipt must be sent to info@sophisticwoman.com; shipment preparation does not begin until payment is verified.
• —In case of credit card default, the Buyer is responsible to the relevant bank; costs arising from this are not covered by the Seller.
• —If the bank cancels payment due to unauthorized card use, the Buyer must return the product within 3 business days.

Article 7 — Delivery Conditions

• —Shipped within 1–5 business days from order confirmation; the legal maximum is 30 days.
• —Shipping fee is determined based on order amount and campaign conditions; shown on the order summary screen.
• —Where there is no courier branch, the Buyer collects from the nearest branch.
• —The Seller accepts no responsibility for delays caused by the Buyer not being present at the address.
• —A tracking number is sent by email after the product is shipped.

Article 8 — Wholesale Special Conditions

Article 9 — Right of Withdrawal

The Buyer has the right to withdraw within 14 days from the date of receiving the goods without giving any reason. The withdrawal notice must be delivered to the Seller through the following channels:

After the withdrawal notice, the Buyer ships the product within 10 days. The Seller refunds the payment within 14 days of receiving the product.

Article 10 — Return and Exchange Conditions

• —Return request must be notified in writing within 14 days from delivery.
• —Products to be returned must be with original tags, unused, unwashed, and in original packaging.
• —Shipping costs for returns due to product defect or wrong delivery are borne by the Seller.
• —Shipping costs for returns outside the scope of the right of withdrawal are borne by the Buyer.
• —Size exchange is evaluated based on stock availability; refund is made if the size is not in stock.
• —For damaged or defective products, photographic notification must be made within 2 business days of delivery.

Article 11 — Privacy and Personal Data Protection

• —The Buyer's personal data is processed under KVKK Law No. 6698.
• —Data is used only for the purpose of fulfilling orders, delivery, and legal obligations.

Article 12 — Force Majeure

• —Earthquake, flood, fire, epidemic, war, terrorism, government decree, strike, transportation, and infrastructure outages are accepted as force majeure.
• —In case of force majeure, the affected party immediately notifies the other party in writing; related obligations are suspended.
• —If force majeure exceeds 30 days, both parties may terminate the contract; payment is refunded to the Buyer, and no compensation can be claimed.

Article 13 — Dispute Resolution and Jurisdiction

• —In disputes, the parties first seek resolution through negotiation.
• —For consumer purchases, the Consumer Arbitration Committee or Consumer Courts are competent.
• —For commercial/professional wholesale purchases, Istanbul (Güngören) Courts and Enforcement Offices are competent.
• —Applicable law is Turkish Law.

Article 14 — Entry into Force

• —The contract enters into force upon the Buyer's electronic confirmation of the order and completion of payment.
• —The contract consists of 14 articles and is deemed accepted after being read and understood by the Buyer.
• —The Seller delivers a copy of the contract to the Buyer via order confirmation email.
• —Records of the contract and pre-information form are retained for 3 years.
